Why FPM

Benefits of WBS Fund Portfolio Management

WBS FPM brings deal ingestion, regulatory authority mapping, risk assessment, and investment proposal generation into one connected Microsoft-native platform — with a mandatory human review gate at every assessment stage.

Platform capabilities

WBS FPM Capabilities

Manage the full M&A deal lifecycle with connected capabilities for deal ingestion, regulatory assessment, human review, Investment Proposal generation, and audit logging.

Deal Ingestion

Create a deal from an announcement URL or PDF upload. The agent extracts key fields — target, bidder, sector, country, offer price, and timeline — and populates the deal record in Dynamics 365 automatically.

Supporting documents are attached to the record and OCR’d. Confidence scores are shown for each extracted field so reviewers can spot what to verify first.

Once ingested, the deal is routed into the assessment workflow and linked to the relevant regulatory authorities based on jurisdiction and sector.

Deal Ingestion

Every deal generates a structured regulatory assessment built around four explicit components: the checklist used, facts with sources, comparable cases from the precedent corpus, and explicit unknowns.

The assessment runs in two phases. A pre-offer-document inference draws on precedent to surface likely authorities and risks before the formal offer document is published. A post-offer-document pass then validates against the confirmed facts once the document lands.

No black-box conclusions. Every claim traces back to a source a reviewer can click through to.

Human Review Gate

Every assessment is blocked from downstream use until a human reviewer approves it. The review interface surfaces the AI proposal on one side and a reviewer checklist on the other — confidence score, risk flags, and the four explainability components all visible at once.

Reviewers can approve, request changes, or reject outright. Comments are captured against the record. Nothing reaches an Investment Proposal export or SharePoint without explicit sign-off.

The gate is non-negotiable by design. AI surfaces the risk, your team makes the call.

Investment Proposal

Once an assessment is approved, FPM generates a structured Investment Proposal in your fund’s own template — populated with deal economics, regulatory timeline, risk flags, comparable-case references, and expected-value metrics.

The document exports to Word, PDF, or directly to your SharePoint research library. Formatting, sections, and signoff language match what your PM team already uses.

Citations and audit IDs are embedded so every figure in the final document can be traced back to its source and the reviewer who approved it.

Audit & Control

Every action — agent runs, field updates, reviewer decisions, document exports — is written to an append-only, signed audit log. Nothing happens in FPM without leaving a traceable record.

A control-plane dashboard tracks KPIs in real time: assessments generated, human gates cleared, corpus citations, policy violations. Agents can be paused, versioned, or rolled back from a single registry.

Built for funds that need to demonstrate — to auditors, to allocators, or to themselves — exactly how each decision was made.

How FPM works

From deal announcement to approved investment proposal — one connected flow.

Deal ingestion, regulatory assessment, human review, and investment proposal generation — linked end-to-end. Nothing moves forward without the human review gate.
